A couple of personal observations:
Both watches share the same 240Q movement and it's known for its beauty, slimness and reliability.
The newer 5140 is having a 1.2 mm larger case and a much fuller dial. The original 3940 has a much more open dial and in my books 3940 beats easily the newer 5140. However, in 5140 collection there were two very interesting watches: 5140P with blue dial and 5140R with brown dial. For me perfection would be 3940P with blue dial but such a watch is not produced yet.
The second hand prices of 3940 are lower than the prices of 5140. Why? I really do not know nor understand. The future values remain to be seen.
When you buy a watch, try to get a specimen which is original, has the second case back (except most of the P models), stylus, preferably winding box and naturally the Certificate of Origin. You can replace other but not the second case back and the Certificate.
